Job description

A leading global alternative investment manager is seeking an experienced Funds Counsel to join its Legal team in New York City. Reporting directly to the Deputy General Counsel, this role will serve as a key legal partner to the firm's fund management, investor relations, capital raising, compliance, and business teams.

This is an opportunity to play a central role in the structuring, formation, marketing, and ongoing operation of sophisticated private investment funds across multiple strategies and jurisdictions.

Key Responsibilities

• Lead legal aspects of private fund formation, including drafting, reviewing, and negotiating fund documentation.
• Advise on the structuring and launch of new investment vehicles, managed accounts, co-investment arrangements, and related products.
• Support fundraising activities and provide legal guidance on investor communications, marketing materials, placement activities, and distribution arrangements.
• Negotiate and manage side letters and other investor-specific arrangements.
• Advise on securities, regulatory, and governance matters impacting private funds and investment management activities.
• Partner closely with Investor Relations, Capital Formation, Compliance, Tax, Operations, and Investment teams on product development and strategic initiatives.
• Coordinate with external counsel across U.S. and international jurisdictions.
• Monitor legal and regulatory developments affecting private funds and alternative asset managers.
• Assist with ongoing fund maintenance, amendments, restructurings, and liquidity-related transactions.

Qualifications

• J.D. from a recognized law school and admission to practice in at least one U.S. jurisdiction.
• Approximately 2-5 years of relevant experience at a top law firm and/or alternative asset manager.
• Significant experience with private fund formation, including hedge funds, private credit, private equity, or other alternative investment structures.
• Strong knowledge of securities laws, investment adviser regulations, and fundraising/marketing considerations.
• Experience negotiating fund documents and investor side letters.
• Ability to manage multiple complex matters in a fast-paced environment.
• Excellent drafting, negotiation, and stakeholder management skills.
