Qualifications

• JD from an ABA-accredited law school.
• 2–3 years of experience in private investment fund formation or investment management.
• Foundational understanding of fund structures, key fund terms, and securities regulations.

Responsibilities

• Assist in the formation of private investment funds, including private equity, hedge funds, and other alternative investment vehicles.
• Draft and review core fund documents, including private placement memoranda, partnership or operating agreements, subscription agreements, and side letters.
• Support negotiations with investors and review investor-related documentation, including co-investment materials.
• Assist with securities law compliance, including exemptions under federal and state securities laws.
• Conduct legal research on fund-related regulatory issues.
• Coordinate closings and manage fund launch timelines.
• Work closely with senior attorneys, clients, and fund administrators.
