Job summary

A leading global law firm is seeking a Private Funds associate in its Asset Management Group in Boston. You will advise sponsors and institutional investors on formation, structuring and operation of private funds, draft and negotiate limited partnership agreements, subscription agreements, private placement memoranda and side letters, and support secondaries, continuation vehicles and fund restructurings.

Mentor junior associates while managing several matters at once.

$235,000 to $445,000 + Bonus

I am working with a leading global law firm on a Private Funds associate search within its Asset Management Group. You will advise sponsors and institutional investors on the formation, structuring and operation of private equity, hedge, credit and venture funds. You will draft and negotiate limited partnership agreements, subscription agreements, private placement memoranda and side letters, and support secondaries, continuation vehicles and fund restructurings. You will manage several matters at once and mentor junior associates.

What I need:

• Minimum two years of private funds experience at a national or global law firm
• Fund formation drafting and negotiation, plus working knowledge of the Advisers Act and Investment Company Act
• Familiarity with management fees, carried interest and waterfall mechanics
• Active bar admission, or eligibility for prompt admission
