• Draft, review, and negotiate core fund documents, including partnership or operating agreements, subscription agreements, and side letters.
• Oversee investor negotiations and respond to diligence requests from institutional investors.
• Advise on securities laws and regulatory compliance affecting private funds and investment advisers.
• Oversee fund launches, closings, and amendments.
• Supervise junior associates and paralegals.
• Maintain direct client contact and contribute to ongoing client relationships.
