Job summary

Bank of America is seeking an experienced in-house counsel to provide legal guidance on executive compensation, employee benefits, and related matters across the enterprise. The role focuses on contracting, regulatory compliance, and governance with an expectation of at least six years of practice after bar admission.

The ideal candidate will review complex documents, lead or coordinate with outside counsel, and advise business partners on risk and regulatory requirements across SEC disclosures,

Qualifications

• Admitted to state bar in good standing.
• 5+ years experience in compensation and benefits.
• Experience with SEC rules and IRC provisions.
• Experience with ERISA and qualified/nonqualified plans.
• Experience with executive offer letters and separation agreements.

Responsibilities

• Analyses legal issues related to corporate functions and compensation.
• Provide clear, business-informed legal advice to leadership.
• Draft, review, and negotiate complex legal documents.
• Coordinate with outside counsel and mentor peers as needed.
• Support executive compensation programs and governance activities.
• Advise on disclosures, reporting obligations, and regulatory requirements.
• Manage regulatory filings, engagement letters, and legal opinions.
• Represent the company in legal actions when appropriate.
