Larson Maddox seeks an experienced attorney to serve as a strategic advisor to executive leadership and the Board on corporate governance, securities law, and corporate secretary matters.

The role requires on-site presence five days per week and frequent interaction with senior leadership and directors, offering high visibility and impact on governance processes and disclosure obligations.

Qualifications

• J.D. from an accredited law school and active bar membership.
• 10–15+ years in corporate governance, securities law, and public company matters.
• Prior Corporate Secretary or Assistant Corporate Secretary experience preferred.
• Proven experience managing Board processes and shareholder-facing matters.
• Deep knowledge of SEC reporting and disclosure requirements.

Responsibilities

• Serve as the primary legal advisor on governance, board operations, and corporate secretary activities.
• Partner with the Board and executive leadership on governance strategy and regulatory developments.
• Lead preparation of Board materials, agendas, minutes, and governance documentation.
• Oversee SEC reporting and disclosure obligations, including Form 10-K, 10-Q, 8-K, and proxy statements.
• Lead annual proxy process, shareholder meeting prep, and investor communications.
• Advise on Nasdaq and stock exchange requirements and evolving governance standards.
• Administer insider trading compliance programs and director onboarding activities.
• Oversee corporate records, entity management, and subsidiary governance.
