Job summary

Larson Financial Group is seeking an experienced General Counsel Corporate Secretary to guide strategic legal decisions across its financial services and related operations. The role leads the legal function, oversees governance, and advises on complex regulatory and commercial matters.

You will partner with executive leadership to identify risk, shape policy, and manage outside counsel while ensuring compliance and ethical governance across affiliated entities.

Qualifications

• Juris Doctor degree from an accredited law school.
• Active license to practice law in good standing with at least one U.S. state bar.
• 8–10 years of relevant legal experience, preferably with law firm and in-house exposure.
• Experience advising businesses in heavily regulated industries (financial services, real estate, banking, etc.).
• Strong knowledge of corporate law, contract law, employment law, regulatory compliance, and risk mitigation.
• Experience supporting executive leadership with strategic legal advice.
• Ability to balance legal risk with business objectives and provide practical guidance.
• Strong drafting, negotiating, analytical, and issue-spotting skills.
• Excellent written and verbal communication, with the ability to explain complex concepts clearly.

Responsibilities

• Serve as the primary legal advisor to executive leadership on corporate, regulatory, contractual, governance, employment, and litigation matters.
• Provide practical, business-focused legal guidance that supports strategic decision-making while managing risk.
• Draft, review, negotiate, and advise on vendor contracts, employment agreements, confidentiality agreements, service agreements, real estate documents, letters of intent, and acquisition documents.
• Oversee corporate governance and secretary duties, including entity management, board materials, minutes, consents, and related records.
• Coordinate governance meetings, prepare agendas, notices, materials, minutes, and follow-up items.
• Maintain corporate records and ensure annual filings, ownership records, and governance calendars.
• Assist with entity formation and regulatory filings, licenses, and corporate maintenance obligations.
• Partner with compliance to support regulatory readiness and align with securities, privacy, and employment regulations.
• Advise on employment law matters, investigations, separation agreements, and workplace compliance.
• Manage outside counsel relationships and coordinate cost-effective, timely support.
• Support mergers, acquisitions, and post-closing governance matters; advise on due diligence and transaction documents.
• Identify legal risks and mitigation strategies; communicate them to leadership.
