Job summary

Affirm seeks a Senior Counsel, Capital Markets to join its Corporate Affairs team. You will lead financing transactions, advise on lending and securities laws, and collaborate with the capital markets and bank partnerships teams.

Ideal candidates have 7+ years of law-firm experience, a JD, and US bar admission; fintech in-house experience is a plus. The role is remote-first with onboarding and a broad compensation package including equity and benefits.

Qualifications

• 7+ years of relevant law-firm experience, with some in-house fintech experience preferred.
• JD degree from a well-regarded law school and active US state bar in good standing.
• Experience in structured and/or debt finance—term, revolving, asset-based lending, warehousing, securitizations, and creative funding.

Responsibilities

• Advise and support the capital markets team in building out the company's network of capital sources and strategies, including international expansion.
• Advise and support the bank partnerships team in building out the company's network of originating and card issuing partner banks.
• Independently lead each financing transaction or bank partner initiative from strategy discussions to deal execution and maintenance beyond closing.
• Draft, review and negotiate all US and international capital markets deal documents, including credit and security agreements, loan sale agreements, indentures, officer certificates, board and shareholder resolutions, and side letters.
• Demonstrate expert knowledge and understanding of lending and securities laws and regulations relating to capital markets transactions.
• Communicate legal advice in a clear, concise, and timely manner.
• Coordinate with cross-functional teams as a capital markets and/or bank partnership legal main point of contact, providing thought leadership on other special projects.
