Job summary

SPECTRAFORCE is seeking an experienced corporate transactional paralegal for a 3-month hybrid assignment in Mayfield Village, OH. The role requires at least 8 years of paralegal experience in corporate transactions and familiarity with Ohio and Delaware law.

You will support data room management, due diligence, drafting signing and closing deliverables, and coordination with internal teams and outside counsel, with strong communication and project management skills.

Qualifications

• 8+ years of experience as a corporate transactional paralegal.
• Strong knowledge of corporate transactions including equity or debt investments and M&A.
• Experience with Section 16 filings and public company requirements.
• Excellent project management and communication skills.

Responsibilities

• Support corporate transactions, including data room management, due diligence coordination, due diligence review and documentation, drafting signing and closing deliverables, managing internal approvals, and post-closing matters.
• Draft and review disclosure schedules and transactional documents; assist with regulatory filings and post-closing integration.
• Develop and maintain transaction playbooks, diligence frameworks, closing checklists, and templates to support future transactions and legal ops.
• Collaborate with cross-functional teams and coordinate with outside counsel and advisors.
• Coordinate signatures for documents and SEC filings; notarize documents when needed.
• Conduct research on corporate statutes relevant to Ohio and Delaware law.
