Job summary

Dawson is seeking a paralegal professional to support corporate transactions, M&A activity, and regulatory filings in a hybrid Columbus area role. The ideal candidate will manage document preparation, closings, and due diligence with strong attention to detail.

You'll coordinate with attorneys and clients, prepare filings, and ensure compliance across multiple jurisdictions. A paralegal credential or equivalent is preferred, with proficiency in MS Office and document management systems.

Qualifications

  • Bachelor's degree or equivalent, Paralegal Certificate preferred.
  • Experience supporting corporate transactions and governance in a professional setting.
  • Strong written and verbal communication, and attention to detail.

Responsibilities

  • Support corporate transactions, mergers and acquisitions, and due diligence activities.
  • Prepare and file UCC financing statements, governance documents, and various entity filings.
  • Coordinate transaction closings, maintain data rooms, and prepare closing binders.
  • Conduct lien searches, entity status reviews, and regulatory compliance checks.
  • Prepare SEC filings and coordinate EDGAR submissions when applicable.

What You'll Do:
  • Support corporate transactions, mergers and acquisitions, entity formations, and due diligence activities
  • Prepare and file UCC financing statements, corporate governance documents, mergers, DBAs, qualifications, dissolutions, and other state filings
  • Coordinate transaction closings, maintain electronic data rooms, prepare closing checklists, closing binders, and ancillary transaction documents
  • Conduct lien searches, entity status research, and regulatory compliance reviews while assisting with ongoing corporate maintenance
  • Prepare SEC filings including Form D, Forms 3, 4, and 5, Schedules 13D, 13F, and 13G, while coordinating EDGAR filing activities when applicable
  • Collaborate with attorneys, clients, government agencies, and third-party service providers to support complex corporate transactions and post-closing activities
What We're Looking For:
  • Bachelor's degree, Paralegal Certificate, or an equivalent combination of education and experience
  • Experience supporting corporate transactions, mergers and acquisitions, corporate governance, or entity management in a law firm or corporate legal department
  • Strong knowledge of UCC filings, corporate filings, due diligence, entity formations, and compliance matters
  • Experience with SEC filings, EDGAR, and public company reporting is highly preferred
  • Excellent organizational, project management, and document preparation skills with exceptional attention to detail
  • Proficiency with Microsoft Office, document management systems, electronic signature platforms, and virtual data rooms is a plus
  • Strong written and verbal communication skills with the ability to thrive in a fast-paced professional services environment
