Job summary

Forter is seeking a Senior Legal Counsel, Corporate & Securities in New York or remote on the East Coast. You will be the sole corporate/securities lawyer reporting to our General Counsel and will lead the equity program, transaction readiness, and policy development.

You will support corporate transactions including securities offerings, financings, acquisitions, and divestitures, and oversee executive compensation.

Qualifications

• J.D. degree from an ABA-accredited law school and admitted in good standing of a state bar (preferably NY or CA).
• 5+ years of experience as corporate and securities counsel; in-house experience a bonus.
• Strong background in securities laws and corporate transactional experience (debt and equity financing, secondaries, M&A, JVs).
• Experience at high growth tech company, preferably B2B software or SaaS.
• High ethical standards and strong communication; ability to work cross-functionally on new/unfamiliar projects.

Responsibilities

• Build and scale the corporate legal function.
• Manage our equity program with the Equity Plan Manager reporting to you.
• Drive transaction readiness and maintain policies, procedures, and training.
• Provide legal support for corporate transactions including securities offerings, financings, acquisitions, and divestitures; oversight of executive compensation.
• Assist with board and committee meeting planning and stockholder meeting preparations.
• Oversee global corporate administration, including compliance with laws, entity maintenance, and executive compensation/stock administration.
• Collaborate across Finance, HR, Marketing, and other functions.
