Job summary

SourcePro Search, LLC is seeking a Senior Corporate Paralegal in Seattle, WA for full-time engagement. The role supports corporate transactions and entity management for private and public clients, with emphasis on complex matters and independent work.

You will handle entity formation, closings, and filings, plus diligence and capitalization records, leveraging strong organizational skills and discretion. Experience with equity platforms is a plus.

Qualifications

• Bachelor's degree required.
• 5+ years transactional experience in private equity, capital markets, and M&A preferred.
• Excellent written and verbal communication.
• Strong attention to detail and ability to manage multiple priorities.
• Excellent organizational and time-management skills.
• Discretion with confidential information.
• Strong interpersonal skills and ability to build relationships.
• Experience with equity-tracking platforms is a plus.
• Previous law firm experience preferred.
• Overtime flexibility.

Responsibilities

• Assist with formation, maintenance, and dissolution of corporate entities and prepare organizational documents.
• Coordinate transaction closings and prepare related documentation.
• Prepare legal opinions and assemble supporting materials.
• Draft and file corporate and securities documents.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and stock option records.
• Research Blue Sky requirements and prepare related filings.
• Train case assistants and junior paralegals.
• Support additional legal projects and perform other duties as needed.
