Job summary

GHX is seeking an Assistant General Counsel to lead corporate governance, transactions, and labor & employment matters in a fast-paced environment. You will draft, negotiate and maintain corporate documents, oversee litigation and outside counsel, and help manage ESG disclosures and programs.

The role involves working closely with senior leadership, managing complex governance and transaction matters, and aligning legal strategy with business goals. Travel up to 20% is expected as needed.

Qualifications

• J.D. degree and active U.S. bar admission.
• 7+ years of legal experience in corporate governance and transactions.
• Excellent analytical, interpersonal and presentation skills.
• Clear written and verbal communication to senior management.
• Collaborative, autonomous and able to handle time pressures.

Responsibilities

• Serve as trusted adviser on corporate governance and board matters.
• Lead governance materials, entity management and regulatory disclosures.
• Counsel on corporate financing, debt reporting, and approvals.
• Support or lead M&A, financings and liquidity events through closing.
• Draft, negotiate and interpret NDAs, LOIs and other agreements.
• Oversee labor, employment and litigation matters and outside counsel.
• Manage insurance portfolios and coordinate with brokers and insurers.
• Collaborate with outside counsel across legal disciplines.
• Support ESG programs and related disclosures.
