Job summary

Global Healthcare Exchange (GHX) seeks an Assistant General Counsel to lead corporate governance, transactions, and labor & employment matters in a fast-paced environment. This in-house role offers oversight of governance, regulatory disclosures, and strategic transactions with external counsel support.

You will collaborate with senior leadership and manage entity governance, financing documents, and risk, while driving efficient processes and ESG initiatives.

Qualifications

• J.D. required and US bar admission in good standing.
• 7+ years in corporate governance and transactions.
• In-house or law firm experience preferred.
• Strong analytical, interpersonal, and presentation skills.
• Ability to manage multiple legal matters independently.

Responsibilities

• Lead corporate governance matters and materials for Board/Committee meetings.
• Oversee corporate records, entity management, and regulatory disclosures.
• Advise on financing, debt reporting, and transaction documentation.
• Support mergers, financings, and strategic transactions through DD and closing.
• Manage labor & employment, litigation matters, and outside counsel.
• Develop efficient legal processes and risk management.
