Job summary

GHX is seeking an Assistant General Counsel to lead key corporate governance, transactional matters, and provide practical labor & employment and litigation guidance in a fast-paced environment. This in-house role requires a versatile corporate generalist approach and collaboration with senior leadership within the LCCA team.

You will draft and maintain corporate documents, oversee complex transactions, and coordinate with outside counsel. Travel up to 20% may be required.

Qualifications

• J.D. degree and admission to a state bar in good standing (US).
• Strong analytical and communication skills; ability to present to senior leadership.

Responsibilities

• Advise on corporate governance and board materials; manage entity governance and corporate records.
• Oversee corporate financing matters, transactions, and regulatory disclosures.
• Lead or support corporate transactions, including M&A, financings, and liquidity events.
• Provide labor & employment and litigation guidance; oversee outside counsel as needed.
• Support ESG program development and corporate disclosures.
