Job summary

Meliora Law seeks an experienced attorney to lead its Corporate & M&A Practice in a hybrid-remote, full-time role in New York. The candidate will advise business owners, entrepreneurs, and family-owned companies on mergers, acquisitions, governance, contracts, and strategic initiatives.

The role requires 7+ years in corporate law, J.D. from an accredited law school, and active New York admission. Independence, client service, and strategic thinking are essential for success.

Qualifications

• J.D. from an accredited law school.
• Active New York admission to the bar.
• 7+ years of corporate law and transactional experience.
• Significant experience independently leading mergers, acquisitions, and other sophisticated business transactions.
• Ability to manage transactions from letter of intent through closing, including due diligence, drafting, negotiations, coordination of advisors, and closing execution.
• Strong drafting, negotiation, client counseling, and project management skills.
• Excellent communication skills and business judgment.
• Entrepreneurial mindset and commitment to outstanding client service.

Responsibilities

• Independently manage mergers, acquisitions, divestitures, and other strategic transactions from LOI through closing.
• Lead due diligence, negotiations, transaction management, and closing processes.
• Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and related documents.
• Advise business owners and management on governance, risk management, ownership transitions, and growth initiatives.
• Serve as a trusted outside advisor to clients across various industries.
• Manage client relationships and act as primary contact for client matters.
• Collaborate with firm-wide tax, healthcare, real estate, trusts and estates, and litigation practices.
• Participate in business development and practice growth initiatives.
• Mentor junior attorneys and contribute to practice development.
