Job summary

Law Firms seeks an experienced Senior Corporate Attorney to manage complex transactions from inception through closing, in a role that combines leadership and strategic counsel for middle-market clients. This position emphasizes independent handling of matters and strong client communication.

Work is four days in the NYC office and one remote day, with a base salary between $170,000 and $250,000 annually. Security experience is a plus in supporting business goals.

Qualifications

• 8-10+ years of experience in corporate and transactional law.
• Experience handling middle-market business transactions.
• Strong drafting, negotiation, and analytical skills.
• Ability to independently manage matters from inception to completion.
• Excellent client-facing and communication skills.

Responsibilities

• Oversee and manage corporate transactions from initial structuring through closing
• Draft, review, and negotiate a wide range of transactional documents, including: (Buy/sell agreements, Mergers and acquisitions, Corporate formations and restructurings, Shareholder and operating agreements, Commercial contracts and related business agreements)
• Provide strategic legal guidance to middle-market business clients
• Interface directly with clients, opposing counsel, and other stakeholders
• Conduct due diligence and manage transaction timelines
• Identify and mitigate legal and business risks
