Job summary

Pattern Energy Group is seeking an experienced corporate paralegal to provide entity management and governance support for 400+ subsidiaries. You will work with the Legal Department to draft resolutions, maintain minute books, and coordinate with auditors, banks, and external counsel.

You will also assist with intercompany transactions, restructurings, and bank onboarding, while ensuring regulatory compliance and timely filings. A Notary license and Canadian entity experience are preferred.

Qualifications

• Eight+ years of corporate paralegal experience in a public corporation, private company, or law firm.
• Five+ years of hands-on entity management experience with portfolio of at least 200 subsidiaries (U.S. and non-U.S.).
• Proof of Canadian entity management experience.
• Notary certification/license is current.

Responsibilities

• Support the corporate secretary and governance function by drafting resolutions and minutes for officers and directors.
• Maintain minute books and records for subsidiaries; provide organization charts and periodic reports.
• Serve as primary contact for corporate information; liaise with Finance, Tax, Treasury and external parties.
• Assist with tax step plans for entity establishment or restructuring; manage filings for closings and acquisitions.
• Support due diligence and provide KYC docs for bank accounts and treasury transactions.
• Handle document distribution for signatures via Adobe Sign; manage policy docs and invoices.
• Maintain entity data in SharePoint and CT Advantage hCue; ensure records retention compliance.
• Manage external counsel relationships and apostille/ legalization processes.
