Job summary

Pattern Energy seeks a senior corporate paralegal to provide entity management and governance support for its extensive subsidiary network. You will draft resolutions, maintain minute books, and coordinate with Finance, Tax, Treasury, and external counsel to ensure compliance and accurate records.

Responsibilities include managing bank authorizations, intercompany transactions, and restructurings, while ensuring regulatory filings and KYC processes are completed timely.

Qualifications

• Associate's Degree or higher in a related field (Law, Corporate Legal Studies, or Legal Assistant Studies)
• Paralegal Certificate (required)
• Law Degree or equivalent experience preferred (8+ years)

Responsibilities

• Provide entity management and corporate transactional, governance and secretarial services for Pattern’s 400+ subsidiaries
• Maintain minute books and create entity organization charts and periodic reports
• Liaise with Finance, Tax, Treasury and external parties for corporate information and governance support
• Assist with tax planning and intercompany transactions
• Support due diligence and KYC for bank accounts and treasury activities
• Distribute documents for signature via Adobe Sign and manage legal documentation
• Maintain accurate entity data in SharePoint and CT Advantage databases
• Manage relationships with corporate agents and external counsel and review invoices
• Respond to inquiries about the company and its subsidiaries
