Job summary

Andromeda, an operating group of Constellation Software Inc., seeks a Senior Corporate Counsel with 6+ years in commercial contracting to draft, review, and negotiate a wide range of agreements. You will advise on risk, partner with Sales, Product, Security, Privacy and Finance, and help drive strategic initiatives.

The role involves developing contract templates and playbooks, supporting legal operations, and guiding business teams on risk-balanced commercial decisions.

Qualifications

• J.D. from an accredited law school.
• Active license in at least one U.S. jurisdiction.
• 10+ years of legal experience with significant commercial contracting.
• Strong drafting and negotiation skills.
• Experience advising stakeholders on legal risks.
• Excellent written and verbal communication.
• Ability to manage multiple priorities in a fast-paced environment.

Responsibilities

• Draft, review, negotiate, and manage a broad range of commercial agreements, including SaaS, MSAs, SOWs, NDAs, professional services, vendor, referral, and data processing agreements.
• Provide practical legal guidance and develop templates, playbooks and negotiation guidelines.
• Identify and assess legal, regulatory, operational, and commercial risks; advise on risk positions and alternatives.
• Collaborate with Sales, Product, Technology, Security, Privacy, Finance and Marketing to facilitate deal execution and support business initiatives.
• Manage outside counsel and contribute to process improvements in contract lifecycle management.
