Job summary

Edmentum is seeking a Senior Corporate Counsel to own commercial contracting and risk management. You will negotiate multi-year SaaS and licensing agreements, advise on privacy, AI governance, and employment matters, and partner with Product, Technology, and Security.

You will report to the General Counsel, balancing dealmaking with practical guidance while supporting a largely remote, multistate workforce. Travel is occasional (less than 10%).

Qualifications

• 10+ years of post-admission experience in law firm and in-house roles with focus on commercial and tech transactions.
• First-chair negotiating experience on SaaS, licensing, services, and data-protection agreements with enterprise counterparties.
• Strong U.S. data privacy and security law knowledge, with practical contracting guidance.
• Ability to counsel People & Culture and business leaders on employment matters and engage outside counsel when needed.
• Ability to simplify complex legal issues for non-lawyers and drive deal-ready contracting.
• Commercial mindset with negotiation ownership and sound judgment.
• Experience in education technology or data-intensive regulated industries is a strong plus.
• Familiarity with education sector privacy landscape and student data requirements a plus.
• Hands-on experience with responsible AI governance and AI contracting issues a strong plus.
• Juris Doctor and active status in at least one U.S. state bar; travel occasionally (<10%).
• Based in or near Minneapolis–St. Paul area preferred; willingness to be in-person as needed while remote day-to-day.

Responsibilities

• Negotiate SaaS, licensing, customer, vendor, and services agreements from first draft through signature.
• Develop templates, playbooks, and approval standards to speed contracting across the company.
• Counsel teams on federal, state, and international privacy requirements, including student data protections.
• Partner with Product, Technology, and Security to evaluate AI use cases and governance.
• Serve as the day-to-day employment law advisor to People and Culture and business leaders.
• Identify material legal risks early and present options to General Counsel.
• Manage outside counsel and support strategic transactions from due diligence through integration.
