Job summary

Ellucian seeks a practical, solutions‑oriented Senior Corporate Counsel to support a broad range of commercial contracts and related matters. You will review, draft, and negotiate complex customer and vendor agreements, partnering with Sales, Product, and Information Security to guide business decisions while balancing risk and opportunity.

You will help optimize contracting processes, improve templates, and drive scalable legal operations across a global SaaS environment, leveraging AI tooling

Qualifications

• Juris Doctor from an accredited law school and active membership in at least one U.S. state bar.
• 7+ years of legal experience, including in-house commercial contracting, licensing, IP, privacy, and data governance.
• Extensive experience with Sales teams in high‑volume deal environments.
• Experience collaborating cross‑functionally across Sales, Product, InfoSec, Engineering, Finance, and Operations.
• Excellent drafting, negotiation, and communication skills.

Responsibilities

• Draft, structure, review, negotiate, and manage a broad range of complex commercial agreements, including SaaS subscriptions, DPAs, AI addenda, NDAs, and vendor agreements.
• Lead end‑to‑end negotiations for high‑value strategic transactions.
• Advise on corporate, IP, governance, and compliance matters.
• Provide guidance on regulatory issues affecting global SaaS providers, including data privacy and AI governance.
• Improve contracting templates, playbooks, and contract governance processes.
