Forj Medical seeks a Contracts Paralegal to lead commercial contract management and legal operations support. You will review, negotiate, draft, and administer a broad range of agreements, coordinating with outside counsel when needed in a fast-paced, regulated manufacturing environment.

The role emphasizes strong contracting expertise, business judgment, and executive presence to support Sales, Operations, and Compliance teams.

Qualificações

• 7+ years in commercial contracting, contracts administration, or corporate paralegal roles.
• Strong drafting and redlining skills, with ability to negotiate complex B2B agreements.
• Executive presence and ability to interact with senior leaders and sales teams.

Responsabilidades

• Review, draft, redline, negotiate, and administer commercial agreements including MSAs, SOWs, NDAs, and more.
• Partner with Commercial team to drive timely deal execution while protecting company interests.
• Analyze provisions: liability, IP ownership, confidentiality, warranties, and regulatory/compliance.
• Protect CDMO position relative to OEM customers; manage IP ownership and liability allocation.
• Identify risks; escalate appropriately and maintain templates, libraries, and playbooks.
• Own contract document control and CLM system support; track obligations and renewals.
• Review agreements across departments: Supply, Facilities, HR, Corporate & Compliance; assist with claims and investigations.
• Coordinate with outside counsel; manage engagements and budgets; translate advice to business actions.
• Serve as trusted advisor to Sales, Operations, Supply Chain, HR, and Leadership.
