Job summary

Manatt, Phelps & Phillips, LLP is seeking a Senior Compliance Attorney to join the Legal and Risk Management team. You will evaluate, negotiate, interpret, and implement client retention documentation, including outside counsel guidelines, NDAs, and engagement terms.

You will reconcile client requirements with firm ethics and risk tolerance, guiding policy improvements and working across conflicts, risk, and compliance teams.

Qualifications

• JD degree required.
• Licensed in good standing in a U.S. state.
• Minimum five years at AmLaw 100, with four years negotiating outside counsel guidelines.
• Strong oral and written communication.
• Experience with legal ethics and privilege issues.
• Strong organizational skills and attention to detail.
• Ability to manage multiple priorities in a fast-paced environment.
• Detail-oriented, discreet, professional demeanor.
• Hybrid work schedule: in-office Tue–Thu; optional remote Mon/Fri; onsite up to five days as needed.

Responsibilities

• Review outside counsel guidelines and client contracts; advise on Firm's ability to comply.
• Draft exceptions and responses to client engagement terms and contracts.
• Communicate with Firm partners and lead negotiations with clients when appropriate.
• Monitor status of OCG responses and related correspondence.
• Coordinate contract version control and redline comparisons.
• Oversee client due diligence responses and risk issue identification.
• Maintain centralized Intapp repository and OCG playbook.
• Review and assist the work of other Compliance team members.
• Collaborate with Legal and Risk Management and Conflicts teams on issues.
• Develop expertise in supporting technologies and process improvements.
• Contribute to policies and procedures related to client retention and risk management.
• Monitor legal/regulatory developments and update policies accordingly.
• Assist training within the Conflicts Department.
• Communicate with and advise Firm personnel on policies and procedures.
• Create inclusionary ethical walls as required by client terms.
• Prioritize requests and coordinate workflow within the team.
• Perform other duties as assigned.
