Job summary

Qualifications

• J.D. with an active license in at least one U.S. jurisdiction.
• 5+ years of legal practice in a law firm or professional services environment; large firm experience preferred.
• 2+ years in compliance, risk management, in-house, or contract-focused work.
• Experience reviewing and negotiating client-drafted contracts or engagement terms.
• Strong legal, commercial, analytical, and problem-solving judgment.
• Excellent communication, negotiation, and relationship-building skills with stakeholders.

Responsibilities

• Review and analyze client engagement terms, outside counsel guidelines, NDAs, and related agreements.
• Advise on legal, commercial, operational, and risk implications of proposed terms.
• Lead or support negotiations with clients and attorneys to protect the firm while addressing client priorities.
• Identify risks and collaborate with subject matter experts and General Counsel on solutions.
• Review changes to engagement terms and advise on exceptions and deviations.
• Serve as a risk/compliance resource for questionnaires, RFPs, and business development submissions.
• Provide guidance to Conflicts Attorneys and Analysts on complex client terms.
• Develop and improve negotiation strategies, workflows, and documentation practices.
• Ensure terms are documented and maintained in an auditable manner.
• Monitor legal/regulatory developments and update policies and practices.
• Lead or support projects involving risk, compliance, or contract management technology.
