Job summary

Integrity, a leading life and health insurance distributor, is seeking a Senior Commercial Counsel to join our Dallas-based legal team. You will draft and negotiate a wide range of complex commercial agreements, advise on contractual and corporate matters, and help implement CLM systems to scale our operations.

You will collaborate with internal stakeholders and outside counsel, support M&A and governance work, and provide pre-litigation guidance on contract disputes while upholding data privacy

Qualifications

• JD from an accredited law school with strong academics.
• Active Texas Bar license in good standing or similar state bar.
• 7+ years of transactional legal experience in law firm or in-house roles.
• Experience drafting, reviewing and negotiating complex commercial agreements.

Responsibilities

• Draft, negotiate, and review complex commercial agreements (supplier/vendor, SaaS, real estate, IP licensing).
• Advise on contractual, legal and corporate matters to support company objectives.
• Support CLM system implementation and playbook updates.
• Manage entity lifecycle, including integration of acquisitions and wind-downs.
