FirstEnergy is seeking a Senior Commercial Counsel to serve as the primary advisor for data center and other large-load customer transactions. This role requires partnering with business leaders and cross-functional teams to structure, negotiate, draft, and manage sophisticated commercial agreements, ensuring alignment with regulatory and corporate objectives.

Qualifications

• Juris Doctor (JD) from an accredited law school and active US bar license.
• 5+ years of legal experience with a strong focus on commercial transactions and complex contracting.
• Experience negotiating and drafting sophisticated commercial agreements in-house or at a leading firm.

Responsibilities

• Lead negotiation, drafting, review, and administration of data center and large-load customer agreements.
• Support varied commercial documents: MSAs, NDAs, LOIs, MOUs, and ancillary transactional papers.
• Advise on commercial, legal, and risk implications to protect FirstEnergy’s interests.
• Collaborate with internal stakeholders to structure and close strategic transactions.
• Develop templates, playbooks, and standard forms to improve process efficiency.
• Monitor regulatory and market developments affecting data centers and large-load contracting.
