Job summary

CAPTRUST, a leading financial services company, seeks a Commercial Transactions Counsel to advise internal teams on complex commercial agreements. You will draft, review, negotiate, and manage contracts, support RFPs and due diligence, and help balance legal risk with business objectives.

You will mentor stakeholders, develop contract templates and negotiation playbooks, and coordinate with procurement, sales, and compliance to improve efficiency and standardization across our organization.

Qualifications

• Juris Doctor from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• 5–8 years of legal experience drafting, negotiating, and advising on complex commercial contracts.
• Experience leading contract negotiations with sophisticated counterparties and outside counsel.

Responsibilities

• Draft, review, negotiate, and interpret complex commercial agreements.
• Independently manage a high-volume portfolio of contracts from intake through execution.
• Negotiate with external counterparties and opposing counsel to balance business and legal risk.
• Review RFPs, due diligence questionnaires, procurement documents, and vendor contracts.
• Identify opportunities to improve contracting processes through automation and playbooks.
• Provide practical, business-oriented legal guidance on contractual obligations and data privacy.
