Job summary

CAPTRUST is seeking a full-time Commercial Transactions Counsel to join its internal legal team. The attorney will draft, review, and negotiate a broad range of complex commercial agreements while supporting procurement and sales processes with RFPs and due diligence materials.

The role requires experience negotiating with opposing counsel and providing practical legal guidance to business leaders, with a focus on balancing risk and business objectives.

Qualifications

• Juris Doctor from an accredited law school and licensed to practice in at least one U.S. jurisdiction.
• 5-8 years of experience drafting, negotiating, and advising on complex commercial contracts.
• Demonstrated experience leading contract negotiations with sophisticated counterparties and outside counsel.
• Experience analyzing RFPs, procurement documents, due diligence questionnaires, and vendor contracting processes.

Responsibilities

• Lead the drafting, review, negotiation, and interpretation of complex commercial agreements.
• Independently manage a high-volume and diverse portfolio of commercial contracting matters from intake through execution.
• Negotiate directly with external counterparties and opposing counsel to achieve commercially reasonable outcomes while appropriately managing legal and regulatory risk.
• Review, analyze, and respond to legal terms and requirements contained in RFPs, procurement documents, due diligence questionnaires, and vendor contracting materials.
• Identify opportunities to improve contracting processes through automation, process optimization, and other scalable legal operations initiatives.
• Provide practical, business-oriented legal guidance to internal stakeholders regarding contractual obligations, risk allocation, liability provisions, data privacy issues, indemnification obligations, and dispute resolution matters.
