Job summary

Cotiviti seeks a Counsel, Commercial to join its US-remote Corporate legal team. You will draft, review, and negotiate a range of complex commercial agreements, including customer contracts, master service agreements, and partnerships.

You will apply legal analysis to balance risk with business objectives and guide internal stakeholders on regulatory matters. You will develop templates, playbooks, and policies to improve contract processes, while supporting strategic transactions and renewals.

Qualifications

• J.D. or equivalent law degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 6+ years legal experience handling contract matters.
• Ability to work remotely with minimal interruptions to the work day.
• Experience focusing on healthcare, technology, and/or professional services.

Responsibilities

• Lead drafting, review, negotiation, and management of commercial agreements (customer, master services, SOW, vendor, NDAs, licenses, partnerships).
• Apply legal and business judgment to assess risk, regulatory considerations, and business objectives.
• Determine negotiation strategies using templates and playbooks to meet business goals.
• Advise stakeholders on complex commercial, operational, and regulatory matters with clear guidance.
