Job summary

DuCharme, McMillen & Associates, Inc. is seeking a skilled Client Agreement Specialist to support the Legal function by drafting, revising, and coordinating client engagement agreements and related documents.

You will work closely with Sales and Operations to translate business terms into precise contractual language, ensuring compliance with contracting standards and risk controls in a fast-paced professional services environment.

Qualifications

• Bachelor's degree or equivalent combination of education and relevant commercial contracting experience.
• 5–10 years of experience drafting, reviewing, and administering commercial agreements.
• Experience drafting business contracts in professional services, consulting, accounting, legal, or similar environment.
• Ability to translate business discussions and negotiated terms into effective contractual language.
• Strong attention to detail and commitment to producing accurate, high-quality work.

Responsibilities

• Draft, revise, and coordinate execution of client engagement agreements, amendments, change orders, NDAs, and related commercial documents.
• Translate business terms and commercial understandings provided by sales into accurate contractual language using approved templates.
• Review client-provided contract forms and prepare revisions/redlines and issue summaries for legal review.
• Ensure agreements comply with DMA's contracting standards, policies, and risk guidelines.
• Coordinate contract execution processes and maintain documentation throughout the lifecycle.
• Partner with Sales to facilitate timely preparation and completion of client agreements and provide contract-related support throughout the sales cycle.
• Prepare summaries of contractual issues, proposed revisions, and negotiation considerations; identify non-standard terms requiring legal review.
• Maintain contract status tracking and manage template and clause libraries.
