The role serves as primary advisor on governance and corporate administration, coordinating with external counsel and leadership to deliver compliant, risk‑aware governance solutions and materials.

Qualifications

• 8–12 years of professional legal experience.
• Admission to at least one state bar; Florida Authorized House Counsel certification if bar is elsewhere.
• Expertise in corporate governance and board matters.

Responsibilities

• Provide legal counsel to the Board of Directors and committees on governance frameworks and regulatory requirements.
• Develop and update governance policies, charters, and documentation to ensure compliance.
• Prepare board materials, agendas, resolutions, and minutes with confidentiality and accuracy.
• Advise on board composition, independence standards, conflicts of interest, and related-party transactions.
• Counsel on executive compensation, equity plans, and D&O insurance matters.
• Coordinate with external counsel, regulators, and auditors on governance matters.
• Guide governance-related corporate transactions and significant contracts requiring Board approval.
• Manage governance documentation systems and records retention.
• Conduct legal research and prepare opinions and governance memoranda.
