Job summary

Florida Blue seeks a mid-level to senior attorney to provide specialized governance counsel to the Board of Directors and committees. With 8–12 years of governance experience, you will serve as the primary advisor on governance matters and corporate administration, delivering counsel with minimal supervision.

You will develop governance policies, prepare board materials, and ensure compliance with laws and best practices while coordinating with external counsel and regulators as needed.

Qualifications

• Juris Doctorate from an accredited law school with strong academics.
• 8–12 years of relevant legal experience in governance or corporate law.
• Florida bar admission or eligibility for Authorized House Counsel.
• Strong governance, board and committee experience.
• Excellent written and verbal communication skills.
• Ability to work independently with minimal supervision.

Responsibilities

• Provide comprehensive legal counsel to the Board of Directors and committees on governance and risk.
• Develop and update governance policies, charters, and documentation.
• Prepare board materials including agendas, resolutions, minutes, and committee materials.
• Advise on board composition, independence, conflicts, and related-party transactions.
• Counsel on executive compensation, equity plans, indemnification, and D&O insurance.
• Coordinate with external counsel, auditors, regulators, and stakeholders on governance matters.
• Advise on corporate transactions and governance matters requiring Board awareness.
• Manage board materials repository and governance documentation systems.
• Conduct legal research and prepare opinions and governance memoranda for Board.
• Take on additional duties to support the legal department as needed.
