Job summary

Florida Blue, part of GuideWell, seeks an experienced Assistant General Counsel specializing in corporate governance to support the Board and its committees from a remote US location. You will lead governance initiatives, draft policies, and coordinate with external parties.

The role requires 8-12 years of relevant experience, a JD, and strong analytical and communication skills to navigate complex governance issues with minimal supervision.

Qualifications

• Juris Doctorate from an accredited law school with a strong academic record.
• 8-12 years of professional legal experience.
• Bar admission in at least one state; Florida Authorized House Counsel possible.
• Expertise in corporate governance and board governance.
• Strong knowledge of corporate and commercial law.
• Excellent written and verbal communication; able to explain complex concepts.

Responsibilities

• Provide comprehensive governance counsel to the Board and Board committees.
• Develop, review, and update governance policies, charters, and documentation.
• Prepare and manage Board materials: agendas, resolutions, minutes, and records.
• Advise on Board composition, independence, conflicts of interest, and committee structures.
• Provide counsel on executive compensation, indemnification, and D&O matters.
• Coordinate with external counsel, regulators, and auditors on governance matters.
• Advise on corporate transactions and significant governance-related matters.
• Manage governance documents repository and records management.
• Conduct legal research and prepare opinions and memoranda for Board leadership.
• Support special projects for the broader legal department.
