The Vanguard Group is seeking a seasoned Associate General Counsel to support governance and the corporate secretary function for the Vanguard Funds Board and related boards. You will advise trustees and senior executives on fiduciary matters and work closely with the Office of the Corporate Secretary and fund product counsel on regulatory and product matters.

Formación

• Minimum ten years of related legal experience with governance and board advisory focus.
• Strong knowledge of governance practices, fiduciary obligations, and corporate law.
• Familiarity with Investment Company Act of 1940 and investment product governance is desirable.

Responsabilidades

• Act as a strategic legal advisor on corporate governance for trustees, directors, and executives.
• Support governance and corporate secretary functions for Vanguard Funds Board and related boards.
• Coordinate with departments to ensure accurate, confidential, and decision-useful board materials.
• Monitor legislative and regulatory developments and advise on potential impact.
• Direct and manage work by outside counsel as appropriate.
• Maintain specialist knowledge of Vanguard’s business and governance trends.
