Job summary

Florida Blue Group is seeking a mid-level to senior attorney to provide specialized governance counsel to the Board of Directors and its committees. With 8-12 years of relevant experience, you will serve as the primary advisor on governance matters and corporate administration in a fast-paced environment.

You will develop governance policies, prepare board materials, review contracts, and coordinate with external counsel.

Qualifications

• Juris Doctorate from an accredited law school.
• 8–12 years of professional legal experience.
• Admission to at least one state bar; Florida Authorized House Counsel eligibility if bar is not Florida.
• Expertise in corporate governance and board administration.
• Strong leadership and independent judgment.

Responsibilities

• Provide comprehensive legal counsel to the Board of Directors and governance committees.
• Develop and update governance policies, charters, and documentation.
• Prepare board materials: agendas, resolutions, minutes, and records.
• Advise on director qualifications, independence, conflicts of interest.
• Counsel on executive compensation, equity plans, indemnification, and D&O insurance.
• Coordinate with external counsel, auditors, regulators on governance matters.
• Advise on corporate transactions requiring Board awareness or approval.
• Manage board materials repository and governance records.
• Conduct legal research and prepare opinions and governance documents.
• Handle additional responsibilities and special projects as needed.
