Job summary

Reflection seeks a Compute and Infrastructure Counsel to partner with Strategy and Operations on complex infrastructure projects, including hardware partnerships, hyperscale capacity, data centers, and AI factory buildouts. You will own negotiations and craft playbooks that enable rapid, rigorous execution.

This high-impact role requires a JD with U.S. bar admission and 8+ years of relevant experience, with a strong track record in cloud/hardware transactions and complex negotiations.

Qualifications

• J.D. and active bar membership in at least one U.S. jurisdiction.
• At least 8+ years of relevant legal experience, ideally with law firm and in-house experience, leading complex infrastructure/compute transactions.
• Demonstrated depth in two of: strategic hardware partnerships; hyperscaler/cloud capacity agreements; power/energy contracting; data center leases/buildouts.
• Comfortable operating independently on fast-moving, first-of-their-kind deals while maintaining rigor.
• Significant experience managing and directing a deal team and outside counsel.
• Sound commercial judgment; ability to translate contractual complexity for non-lawyer stakeholders.
• Technical fluency and business acumen across compute transactions, project finance, and hardware procurement.

Responsibilities

• Lead negotiation of large-scale compute and cloud capacity agreements with hyperscalers, neoclouds, and emerging providers.
• Own strategic hardware partnerships with chip, accelerator, server, and networking vendors.
• Drive end-to-end legal support for data center and AI factory buildouts — colocation and hosting master agreements, ground and build-to-suit leases, engineering and construction contracts, interconnection agreements, power purchases and utility arrangements.
• Structure and negotiate power arrangements: PPAs, tolling agreements, utility service agreements, behind-the-meter generation, and long-term energy commitments.
• Serve as legal lead on strategic infrastructure transactions — joint ventures, site acquisitions, and bespoke financing structures.
• Build scalable playbooks, templates, and delegation frameworks for fast, rigorous execution.
• Partner with Security, Privacy, and Policy colleagues on cross-cutting issues: tenant isolation, data flows, sovereign compute, and regulator engagement.
• Manage specialized outside counsel across real estate, energy, hardware, and construction.
