Job summary

American International Group, Inc. (AIG) in New York is seeking a Securities Paralegal to serve as the primary SEC reporting paralegal on a team of corporate paralegals, reporting to a senior attorney in the Corporate Secretary’s Office.

You will draft and file Section 16 forms (3/4/5), assist with the annual proxy, 10-Q/10-K filings, governance matters, and insider trading policy processes, with a focus on accuracy and cross-functional collaboration.

Qualifications

• 3+ years of relevant experience with a major public corporation and/or law firm.
• Knowledge of 34 Act requirements (particularly Section 16).
• Proficiency in Workiva, SharePoint and Excel.
• Familiarity with EDGAR Next.
• Strong organizational, research and communication skills.

Responsibilities

• Manage processes under the company's insider trading policy and liaise with transfer agent.
• Conduct peer benchmarking and legal research; assist with other projects.

Securities Paralegal

This role is for the primary SEC reporting paralegal on a team of dedicated corporate paralegals and will report to a senior attorney in the Corporate Secretary’s Office to assist with public company reporting requirements and general corporate matters.

Specific Responsibilities Include:

• Draft and file Section 16 filings (Forms 3, 4 and 5) and maintain corresponding executive officer equity ownership information
• Assist in the preparation of the annual proxy statement and manage cross-functional audit support
• Provide support on corporate governance matters, including D&O questionnaires, shareholder engagement and annual meeting preparation
• Assist with periodic reports under the ’34 Act, including Forms 10-Q/K
• Establish and implement best practices for reporting and legal entity management
• Manage and implement processes under the company's insider trading policy
• Liaise with transfer agent
• Conduct peer benchmarking and legal research
• Assist the corporate legal team with other projects as needed

Preferred Qualifications:

• 3+ years of relevant experience with a major public corporation and/or law firm
• Knowledge of '34 Act requirements (particularly Section 16)
• Proficiency in Workiva, SharePoint and Excel
• Familiarity with EDGAR Next
• General legal research skills and excellent organizational skills and attention to detail
• Strong communication skills and ability to coordinate complex tasks with multiple stakeholders; innovative and a self-starter
• Bachelor's or associate’s degree or paralegal certificate

For positions based in New York , the base salary range is $72,000-$90,000 and the position is eligible for a bonus in accordance with the terms of the applicable incentive plan. Your actual compensation will be dependent on your skills, experience, and qualifications.
