Job summary

AIG is seeking the primary SEC reporting paralegal to join a team of corporate paralegals, reporting to a senior attorney in the Corporate Secretary’s Office. The role supports public company reporting requirements and general corporate matters.

Responsibilities include drafting Section 16 filings (Forms 3, 4, 5), assisting with the proxy and audit support, governance matters, and 34 Act reports. New York base salary ranges and bonus eligibility accompany a strong benefits program.

Qualifications

• 3+ years of relevant experience with a major public corporation or law firm.
• Knowledge of 34 Act requirements, particularly Section 16.
• Proficiency with Workiva, SharePoint and Excel.
• Familiarity with EDGAR Next.
• Strong organizational skills and attention to detail.
• Excellent communication and coordination across stakeholders.
• Bachelor's or associate degree or paralegal certificate.

Responsibilities

• Draft and file Section 16 forms (3, 4, 5) and maintain executive ownership data.
• Assist in the annual proxy statement and cross-functional audit support.
• Support corporate governance matters, including D&O questionnaires, shareholder engagement and annual meeting prep.
• Assist with periodic reports under the 34 Act, including Forms 10-Q and 10-K.
• Establish and implement best practices for reporting and legal entity management.
• Manage processes under the insider trading policy.
• Liaise with transfer agents.
• Conduct peer benchmarking and legal research.
• Assist the corporate legal team with other projects as needed.
