Qualifications

• 3+ years of relevant experience with a major public corporation and/or law firm.
• Knowledge of ’34 Act requirements (particularly Section 16).
• Proficiency in Workiva, SharePoint and Excel.
• Familiarity with EDGAR Next.
• General legal research skills and excellent organizational skills and attention to detail.
• Strong communication skills and ability to coordinate complex tasks with multiple stakeholders; innovative and a self-starter.
• Bachelor's or associate’s degree or paralegal certificate.

Responsibilities

• Draft and file Section 16 filings (Forms 3, 4 and 5) and maintain corresponding executive officer equity ownership information.
• Assist in the preparation of the annual proxy statement and manage cross-functional audit support.
• Provide support on corporate governance matters, including D&O questionnaires, shareholder engagement and annual meeting preparation.
• Assist with periodic reports under the ’34 Act, including Forms 10-Q/K.
• Establish and implement best practices for reporting and legal entity management.
• Manage and implement processes under the company's insider trading policy.
• Liaise with transfer agent.
• Conduct peer benchmarking and legal research.
• Assist the corporate legal team with other projects as needed.
