Job summary

Torres & Zheng at Law, P.C. is seeking a motivated mid-level corporate associate in New York to own and lead corporate transactions from start to finish, while mentoring junior colleagues. You will work directly with the Managing Partner and have a clear path to partnership.

The role involves handling SEC registrations, M&A, private placements, and other corporate matters, with client-facing exposure. Mandarin proficiency is a plus; strong drafting and communication skills are essential.

Qualifications

• Active New York State Bar admission.
• 3+ years of corporate/securities law experience.
• JD or LLM from an accredited law school.
• Located in New York City or willing to relocate.
• Excellent written and verbal communication in English; Mandarin is a plus.

Responsibilities

• Own and lead corporate transactions from start to finish.
• Mentor junior associates and interns.
• Draft and revise registration statements, prospectuses, and related exhibits.
• Coordinate with clients, auditors, underwriters, and advisors to manage timelines.
• Serve as day-to-day contact for clients and drive matters to completion.
• Participate in client calls and meetings in English (Mandarin helpful).
• Report to Managing Partner and manage internal workflow.
