Qualifications

  • Active New York State Bar admission.
  • 3+ years of corporate/securities law experience.
  • JD or LLM from an accredited law school.
  • Located in New York City or willing to relocate.
  • Excellent written and verbal communication in English; Mandarin is a plus.

Responsibilities

  • Own and lead corporate transactions from start to finish.
  • Mentor junior associates and interns.
  • Draft and revise registration statements, prospectuses, and related exhibits.
  • Coordinate with clients, auditors, underwriters, and advisors to manage timelines.
  • Serve as day-to-day contact for clients and drive matters to completion.

We are currently seeking a highly motivated and talented mid-level corporate associate to join our team. In this role, you will own and lead your own corporate transactions and client matters from start to finish, while also serving as a senior reviewer and mentor to our junior associates and interns. This is a hands-on, deal-focused position with significant responsibility and direct client exposure, perfect for someone who wants to build their book of business and grow into a leadership role without the administrative burden of running an entire department. You will work directly with the Managing Partner and have a clear path to partnership.

Responsibilities:
  • Manage SEC registration statement and periodic reporting matters for U.S. and foreign private issuers, including Forms F-1, F-3, F-4, S-1, S-3, 20-F and 6-K.
  • Draft and revise registration statements, prospectuses, SEC response letters and related exhibits, coordinating filings through effectiveness or transaction closing.
  • Assist with public and private securities offerings, de-SPAC transactions, mergers and acquisitions, private placements and other corporate transactions.
  • Conduct securities-law and stock-exchange analysis, including compliance with applicable SEC, Nasdaq and NYSE requirements.
  • Coordinate with clients, auditors, underwriters, placement agents, financial advisors and other members of the working group to manage transaction timelines and deliverables.
  • Serve as a day-to-day point of contact for clients, communicate filing and transaction requirements, manage expectations and drive matters toward completion.
  • Participate in client calls and working-group meetings in English (bilingual in Mandarin preferred).
  • Review work prepared by junior associates, paralegals and interns, providing substantive feedback while maintaining accuracy and quality control.
  • Report directly to the Managing Partner and coordinate internal workflow to ensure timely and accurate delivery of work product.
  • Continue developing expertise in public-company reporting, securities offerings, corporate governance and other corporate and securities-law matters under the guidance of the Managing Partner.
  • Contribute to the corporate and securities practice group’s quarterly objectives and broader business goals.
Qualifications:
  • Admitted to the New York State Bar (active and in good standing).
  • 3+ years of corporate law experience related to securities/IPO work.
  • Strong contract drafting and review skills.
  • JD or LLM degree from an accredited law school.
  • Located in New York City (or willing to relocate).
  • Excellent written and verbal communication skills in English. Mandarin Chinese fluency is a plus, but not required.
  • Detail-oriented with strong organizational skills and the ability to manage multiple workstreams simultaneously.
  • Demonstrated interest in business and securities laws.

  • Competitive base salary of $150,000-$180,000 per year, commensurate with experience.
  • Performance‑based annual bonus: tied to individual and firm performance.
  • Transactional bonus / commission: you will receive a percentage of revenue generated from deals you originate or lead. (Details to be discussed during interview.)
