Job summary

Relativity seeks a Counsel, Commercial Transactions to draft, review, and negotiate a broad range of customer-facing agreements, with a focus on SaaS, software licensing, cloud services, and AI-enabled offerings.

You will partner with Sales, Finance, Security, and Product teams to scale contracting processes, manage risk, and drive strategic initiatives in a hybrid/remote environment.

Qualifications

• Juris Doctor from an accredited law school.
• Active bar membership in good standing (US).
• Experience negotiating SaaS, software, cloud services, professional services, data processing, and enterprise commercial agreements.
• Experience supporting complex commercial contracting environments.
• Understanding of technology, including legal tech, cloud services, software licensing, information security, privacy, IP, regulatory considerations.
• Experience supporting AI-enabled products and emerging technology issues.
• Strong organizational skills and attention to detail.
• Intelligence, flexibility, creativity, diligence, resourcefulness, responsiveness, and strong communications skills.

Responsibilities

• Lead customer, procurement, strategic commercial negotiations, transactions, and technology-related legal work involving software, SaaS, cloud services, AI offerings, and partnerships.
• Provide legal advice and business counsel on commercial and operational issues; manage a high volume of contracts.
• Engage with customers to ensure they are heard and deliver.
• Suggest and implement process improvements, standard forms, or variations to enhance efficiency.
• Leverage AI legal tech tools to improve workflows and productivity.
• Support pricing initiatives, governance projects, and commercial model optimization with Finance and Business Ops.
• Participate in internal approval workflows and manage stakeholder questions.
• Proficiency with AI tools, Microsoft 365, Salesforce, and Ironclad.
