McClure Harrison, Inc. is partnering with a leading AmLaw 50 firm to identify a junior to midlevel M&A associate in New York. The role supports a top-ranked practice handling large-scale domestic and cross-border deals for private equity sponsors and strategic clients.

Ideal candidates will have 2-4 years of M&A experience at an AmLaw 100 firm, drafting and negotiating complex agreements, and coordinating due diligence. NY bar admission or eligibility is required.

Qualifications

• 2-4 years of M&A experience at an AmLaw 100 firm.
• Represent strategic buyers and sellers, PE sponsors, and portfolio companies in domestic and cross-border M&A.
• Experience drafting and negotiating purchase, merger, stockholder, and operating agreements.

Responsibilities

• Draft and negotiate purchase, merger, stockholder, and operating agreements.
• Manage buy-side and sell-side due diligence, including disclosure schedules and specialist coordination.
• Run deals from signing through closing and advise on corporate governance.
