Job summary

Crux is seeking an Assistant General Counsel, Transactions to serve as the day-to-day transactional attorney across Crux's investment and financing activity. This mid-level role covers tax equity, transferable tax credits, debt facilities, and corporate financings, coordinating with Investments, Coverage, Debt Advisory, and Portfolio Management teams.

You will manage term sheets through closing, work with outside counsel, and contribute to standardized playbooks and AI-enabled diligence.

Qualifications

• JD and admission to the bar in at least one U.S. state (NY or DC preferred)
• 3–6 years of transactional experience in projects, energy, or infrastructure finance
• Experience drafting and negotiating a full document set and closing with limited supervision
• Practical experience using AI tools in legal practice and implementing new workflows

Responsibilities

• Lead the legal workstream on tax equity, preferred equity, and tax credit transactions; drive closing deliverables.
• Support debt financings and Crux's own facilities with credit agreements and intercreditor arrangements.
• Perform legal due diligence on project documents and relate findings to investment materials.
• Manage post-closing obligations, amendments, and consents across the portfolio.
• Supervise outside counsel and control costs.
• Assist on corporate-level matters including governance and strategic transactions.
• Standardize documents, playbooks, and closing sets; improve deal processes.
• Develop and apply AI tools with cross-functional teams for diligence and drafting.
