Crux is seeking an experienced Assistant General Counsel, Transactions to manage day‑to‑day transactional work across Crux’s investments and financings. You will lead tax equity, transferable tax credit transactions, debt financings, and corporate matters in a fast‑growth energy platform.

You will coordinate with Investments, Coverage, Debt Advisory, and Portfolio Management, supervise outside counsel, and drive standardized processes and AI‑assisted diligence and closing workflows.

Competenze

• 3–6 years of transactional experience in energy, infrastructure, or project financing.
• Hands-on experience with tax equity, transferable tax credits, and debt financings for renewables.
• Working fluency in federal energy tax credit framework (45, 48, 45Y, 48E, 45X, 6418).
• Practical experience using AI to improve diligence, drafting, closing workflows and related processes.
• Strong ownership, judgment, and ability to communicate clearly with lawyers and non‑lawyers.
• JD and admission in good standing to a US state bar (New York or DC preferred).

Mansioni

• Lead investment transactions: tax equity, preferred equity, tax credit transfers, and related closing deliverables.
• Support debt financings and Crux’s facilities with lien, intercreditor, and related documents.
• Lead diligence on project documents, tax credits, insurance, and sponsor/counterparty issues; present risks to the investment committee.
• Own post-closing workstream: funding conditions, amendments, consents, waivers, reporting across portfolio.
• Manage outside counsel to be efficient and cost-effective.
• Support corporate matters for Crux including governance, financings, and strategic transactions.
• Standardize documents and closing processes; develop playbooks and checklists.
• Develop and apply AI tools across diligence, drafting, and closing workflows.
