Middle River Power is seeking a Counsel, Finance & Transactions to join our legal team and support financing and transactional matters across our portfolio of power generation assets.

This role will work on acquisitions, debt and project financings, tax equity transactions, and related development matters, partnering with Legal, Finance, Development, and Commercial teams to close strategic transactions.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• 4+ years of transactional finance experience, with project/debt/leveraged finance exposure.
• Experience reviewing credit agreements, debt baskets, covenants, and financing provisions.
• Experience in complex financing or M&A transactions; power/energy sector exposure preferred.
• Ability to manage discrete projects within large transactions with sound judgment.

Responsabilités

• Review, analyze, and advise on credit agreements and financing documents.
• Monitor compliance with financing agreements and advise stakeholders.
• Support acquisitions, debt and project financings, tax equity, and related matters.
• Draft, review, and negotiate transaction documents and ancillary agreements.
• Independently manage discrete projects and timelines within transactions.
• Coordinate with internal teams, outside counsel, lenders, and counterparties toward closing.
• Identify legal and transactional risks and support business objectives.
• Assist with post-closing matters and ongoing obligations.
