Job summary

Litem in Bellevue, WA is looking for a skilled technology contracts attorney to own the full lifecycle of commercial agreements, from SaaS to data and security terms. You will draft, negotiate, and close agreements with customers and vendors, build templates, and guide internal teams on risk and strategy.

Required: J.D. and 3–5 years of tech contracts experience; familiarity with AI-related issues a plus; strong drafting/negotiation and cross-functional collaboration essential.

Qualifications

• J.D. from an accredited law school and active membership in good standing of the Washington state bar (or eligibility to register as in-house counsel in Washington).
• 3–5 years of relevant experience drafting and negotiating technology and commercial contracts.
• Demonstrated command of technology transactions, including SaaS, software licensing, and technology services agreements.
• Working knowledge of IP/licensing, liability limitations, warranties, confidentiality, data protection and security, and AI-related issues a plus.
• Track record of leading negotiations directly with counterparties and closing deals under time pressure.
• Excellent drafting and communication skills with business-focused guidance and cross-functional collaboration.
• Ability to manage a high volume of concurrent matters in a fast-moving environment.

Responsibilities

• Draft and negotiate technology and software agreements, including SaaS and enterprise subscription agreements, MSAs, license agreements, order forms, SOWs, pilot agreements, and reseller arrangements.
• Own the customer contracting process end to end from initial paper to signature with strong terms.
• Handle vendor, procurement, and inbound technology contracts including cloud hosting and professional services.
• Negotiate data protection, security, and privacy terms, including DPA and security exhibits.
• Address IP ownership, license scope, and open-source considerations; manage data use and AI/ML provisions.
• Build, maintain contract templates and playbooks to speed sales while controlling risk.
