Cogent Biosciences, Inc. is seeking a Corporate Counsel to support a broad range of contracts as the company scales its commercial-stage biotech operations.

You will draft, review, and negotiate agreements while partnering with commercial, medical affairs, research, and clinical teams to balance risk with business goals. Reporting to the Associate General Counsel, you will help ensure regulatory compliance, data privacy considerations, and the development of contract templates and playbooks to

Qualifications

• J.D. from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 5–7 years of biotech/pharma in-house or similar experience.
• Experience drafting and negotiating complex agreements across research, development, manufacturing, commercial, and operations.

Responsibilities

• Draft, review, negotiate, and manage a wide variety of agreements (NDA, MSAs, SOWs, sponsorship, consulting, clinical trial, vendor/supplier, collaboration, licensing, sponsored research).
• Collaborate with commercial, medical affairs, R&D, clinical operations, finance, and leadership to provide business-focused legal advice.
• Monitor changes in laws and regulations; advise on regulatory and legal matters.
• Coordinate with the data privacy officer on privacy matters.
• Develop and maintain contract templates and legal playbooks; provide guidance and training.
