Job summary

Foundation Marketing is seeking a senior contract professional to own drafting, negotiation, and review across client, vendor, and contractor agreements in a fully remote role. You will manage MSAs, SOWs, change orders, and risk assessments, while coordinating with counsel and internal teams.

The position demands independence, strong legal judgement, and fluency with DocuSign, PandaDoc, and ClickUp. Ideal candidates have 6+ years in contract management, deep US/Canadian contract law knowledge,

Qualifications

• 6+ years in contract management, paralegal, or contracts-counsel work, ideally within B2B SaaS, marketing/agency, or professional services
• Demonstrated experience independently drafting and negotiating MSAs, SOWs, vendor contracts, and change orders
• Strong working fluency in US and Canadian contract law fundamentals (indemnification, liability caps, IP/usage rights, data privacy basics)
• Familiarity with data privacy frameworks relevant to our client base (GDPR, PIPEDA, CCPA)
• Proven track record of building a contract management function, workflow, or CLM tooling from scratch
• Practical fluency with DocuSign, PandaDoc, ClickUp, and at least one AI-assisted knowledge tool
• Demonstrated ability to work independently in a remote, high-volume role

Responsibilities

• Draft and negotiate new client MSAs/SOWs and manage client review and redline process
• Own content-mapping and negotiation for contracts using client MSAs/SOW templates
• Draft and manage change orders and extension orders referencing MSA/Terms
• Draft and negotiate vendor contracts and cross-reference terms against client contracts
• Draft and negotiate employment and freelancer agreements
• Escalation judgments: decide what proceeds internally vs. outside counsel
• Review contracts for insurance and liability terms and coordinate with People Ops
• Audit active SOWs and changes against governing MSA terms to catch scope creep
